1. Introduction

1.1. These Terms & Conditions ("Agreement") are entered into by SEABLUE SA ("We," "Us," or "Our"), a company registered in Switzerland under registration number CHE-409.417.377, with its registered office at Rue Adrien-Lachenal 26, Geneva, Switzerland, 1207.

1.2. These Terms govern your access to and use of the services provided by SEABLUE SA through the website https://iqbrain.co (the "Site"). By accessing and using the Service, you ("You" or "Your") agree to be bound by these Terms. If You do not agree to these Terms, You must not use our services.

1.3. The Agreement includes any applicable Site policies, forming a cohesive understanding of your rights and obligations.

2. Definitions

2.1. "Customer": Any individual purchasing or subscribing to services for personal use.

2.2. "Service": Refers to all services provided by SEABLUE SA, including access to related E-Books about brain development, psychology, and mental health, by email or on the Site; the purchase of any associated test such as the IQ, ADHD, Depression, Emotional Resilience, Creativity, and Stress Management tests; and any other offerings described further on the Site.

2.3. "Catalog": Refers to the combined public E-Book store available for single E-Book purchases and exclusive E-Books sent by email which may be included in a private library accessible to users in the future.

2.4. "Subscription": Recurring paid access to exclusive monthly E-Books, the Catalog, tests, and educational materials as detailed in the Subscription Policy.

3. Registration

3.1. Account Creation: Upon purchasing a Service, an account (“Account”) is automatically created with provided credentials. It will include certain registration information, such as a valid email address, password, and payment details. You agree to provide accurate, current, and complete information during the registration process. You further agree to maintain accurate, up-to-date information at all times.

3.2. Eligibility: By registering, you affirm you are of legal age and capable of entering into binding contracts in your jurisdiction. By registering, you represent and warrant that you meet these eligibility requirements.

4. Conditions of Use

4.1. Personal Use Only: Access to the Service is strictly personal and non-transferable. The Service is designed solely for personal development and educational purposes. You are responsible for maintaining the confidentiality of your login credentials and any activity conducted through your Account.

4.2. Prohibited Actions: Users may not:

  • Engage in any activities that are illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of others' privacy, or any other disruptive behavior.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use automated data collection or scraping tools without express written consent, or to conduct unauthorized activities.
  • Attempt to gain unauthorized access to the Service, user accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or any data contained within it.
  • Use the Service for commercial purposes unrelated to personal development without our prior written consent.

4.3. Compliance: All users must comply with applicable laws and these Terms when engaging with the Service.

Breach of this clause may result in immediate termination of access without refund and potential legal action.

5. Services Provided and Operation

5.1. Overview: We provide a comprehensive platform for users to fully develop themselves, analyzing and enhancing mental health and cognitive abilities, including logic, memory, concentration, and reaction skills. Our service is designed to offer an engaging experience through various tests, such as the IQ test, to properly asses their current situation and, through this information, to make full use of the E-Books and other educational resources available on the Site. It is ultimately a journey of self-improvement aided by current materials and information.

5.2. Access to E-Books, Tests and other Resources: Customers receive access to educational E-Books, personalized cognitive tests, and tools designed to support personal development. Upon confirmation of your registration, you will receive access to:

  • Any purchased E-Books from the public E-Book store.
  • Any purchased tests, including IQ, ADHD, Depression, Emotional Resilience, Creativity, and Stress Management assessments.
  • Any other resource listed on the website that has been purchased.

5.3. Trial Offer: Under the idea of Self-Improvement, some purchases may include a free 24-hour trial to evaluate additional features, such as monthly exclusive E-Books, unlimited access to the E-Book store, and tests. 5.4. Modification Rights: We reserve the right to modify, update, or discontinue any component of the Service, provided such changes do not materially reduce its value. Significant changes will be communicated via email at least 30 days in advance

5.5. No Guarantees: While the Service is designed to assist in personal development, we do not guarantee specific outcomes, such as improved test scores or cognitive performance.

6. Payments

6.1. Billing Authorization: By using our Services, you authorize SEABLUE SA to process applicable charges to your chosen payment method.

6.2. Secure Transactions: All payments are securely processed via PCI DSS-compliant providers. through third-party providers compliant with PCI DSS standards. SEABLUE SA does not store payment data.

6.3. Currency: Payments are processed in Pounds (£) or Euros (€), depending on your location.

7. Content and Intellectual Property

7.1 User-Generated Content: We encourage users to contribute and share their experiences, insights, and feedback on the platform. By posting, uploading, or submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and display such content. We value your contributions and may use them to enhance our services and user experience.

7.2 Ownership: All copyright and other intellectual property rights associated with the Site, Service, and related materials (e.g., E-Books and tests) are owned exclusively by SEABLUE SA. These also include texts, graphics, logos, images, audio, and video clips.

7.3. Licensing: You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal use only. This license does not include any right to use the Service or its contents as listed in clause 7.4, and it does not grant you any ownership rights.

7.4. Unauthorized Use:Unauthorized reproduction, distribution, modification, creation of derivative works, public display or performance, republication, downloading, storing, transmission, or any further exploitation of Service content is strictly prohibited and may result in legal action.

7.5. Reporting:To report copyright violations, contact us at contact@iqbrain.co. We will promptly investigate and take appropriate action in accordance with the laws. For this, please use the email associated to your account, unless you wish to remain anonymous, and include both a clear subject line and a detailed description of the alleged infringement.

8. Liability

8.1 As-Is Basis: The Service is provided "as is," without warranties of any kind, and we disclaim liability for any indirect, consequential, or punitive damages arising from its use.

8.2 Compliance Responsibility: You are responsible for compliance with laws applicable in your jurisdiction, or any other third-party terms of consequence.

8.3 Third-Party Platforms: We are not responsible for actions or disruptions caused by external providers or integrations as a result of your use of our Service.

9. Termination

9.1 Voluntary Termination: Users may cancel use of the Service at any time via their Account settings and/or by contacting customer support. Fees already paid are non-refundable, particularly following use of the Service. If you have an active subscription, please note that the termination will take effect immediately.

9.2. Termination for Cause: We reserve the right to terminate your access without notice for violations of these Terms or fraudulent activity. No refunds will be issued in such cases and we may also take appropriate legal actions.

9.3. Effect of Termination: Upon termination, either by you or us, all access to the Service will cease immediately. You will no longer have access to your account or any content associated with it. Any unpaid subscription fees for the current billing period will remain due and payable.

9.4. Account Deletion: If you wish to have your account and personal information deleted from our records, please contact us at contact@iqbrain.co, clearly indicating in the subject line and using the email address associated with your account. We will promptly process your request in accordance with our data deletion procedures.

9.5. Survival of Terms: The sections of these Terms that, by their nature, should survive termination will continue to apply. This includes, but is not limited to, sections related to content and copyright, privacy, and dispute resolution.

10. Governing Law and Miscellaneous

10.1. Exclusive Jurisdiction: These Terms are governed and construed in accordance with the laws of Switzerland. This is to be done without regard to its conflict of law provisions. Any disputes arising in connection with these Terms or use of the Service must be resolved in the courts of Geneva.

10.2. International Users: If you access or use the Service from outside Switzerland, you do so at your own risk and are responsible for compliance with the laws in your jurisdiction. We make no representations that the Service is appropriate or available for use in other locations, and accessing it from territories where its content is illegal is prohibited.

10.3. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid of unenforceable provision will be replaced by a valid and enforceable provision that comes closest to the intention of the original.

10.4. Force Majeure: We are not liable for Service disruptions caused by events beyond our reasonable control, including natural disasters, cyberattacks, or regulatory changes. This include delays or failures to perform obligations due to such events.

10.5. Changes to Terms: We reserve the right to modify, amend, or replace these Terms at any time without prior notice. We may do so for various reasons, including but not limited to changes in our services, legal requirements, or to address user feedback. It is your responsibility to regularly review these Terms for updates. We will notify users through prominent notice on our website or via direct communication, and continuation to use the Service after the effective date of any changes to these Terms will constitute and acceptance and agreement to be bound by the modified Terms.

10.6. Waiver: The failure to enforce any provision of these Terms shall not be deemed a waiver of such provisions or the right to enforce it at a later time.
